10. Governing Law
This Disclaimer is governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles. The Florida Arbitration Code, Fla. Stat. § 682.001 et seq., and the Florida Electronic Commerce Act, Fla. Stat. § 668.001 et seq., apply to the extent relevant.
11. Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to this Disclaimer or the Site, including questions about its existence, validity, or termination, shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its applicable rules in effect at the time the claim is filed. The arbitration shall be conducted in Miami-Dade County, Florida. The Federal Arbitration Act, 9 U.S.C. § 1 et seq., governs the interpretation and enforcement of this arbitration agreement.
Nothing in this arbitration section prevents either party from seeking relief in small claims court where permitted, or from seeking temporary injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, or system security.
12. Class Action Waiver
ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. USERS WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, GROUP ARBITRATION, OR REPRESENTATIVE PROCEEDING AGAINST ALGOLEDGER. The arbitrator has no authority to consolidate claims or preside over any form of class or representative proceeding.
13. Modifications
AlgoLedger may update this Disclaimer at any time. If a change is material, AlgoLedger will provide at least thirty (30) days' advance notice by posting a prominent banner on the Site, by email to registered Users, or both, before the updated Disclaimer takes effect. Continued use of the Site after the updated Disclaimer's effective date constitutes acceptance of the revised terms.
14. Severability
If any provision of this Disclaimer is held invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable; if it cannot be so modified, it shall be severed, and the remaining provisions shall continue in full force and effect.
